PT Supra Boga Lestari, hereinafter referred to as the “Company” was established in 1997 based on Notarial Establishment Deed No. 34 dated 28 May 1997, made before Suwarni Sukiman, S.H.., Candidate Notary replacement from Miryam Magdalena Indrani Wiardi, S.H.,Notary in Jakarta. This notarial deed has been ratified by the Minister of Justice of the Republic of Indonesia in Decree No. C2-6077 HT.01.01.Th.97 dated 3 July 1997 and registered in The Company’s Registrar No. 1218/BH.09.05/VIII/97 dated 26 August 1997 and announced in the State Gazette of the Republic of Indonesia No. 8633 year 1999, Supplement No. 104 dated 28 December 1999.

The Company is engaged in modern retail trade. The Company has never changed its name to date. In 1998, the Company started the modern retail business by opening its first supermarket under the name “Ranch Market”, which is a franchise license from Ranch Market USA. Furthermore, the Company made adjustments to the Ranch Market supermarket concept to meet the needs of upper-class and upper-middle class customers in Indonesia, so that the Ranch Market stores that were opened afterwards were already with a concept that the Company believes is in accordance with the Company’s vision and mission.

In 2007, the Company developed the new supermarket concept to aim the middle and upper middle class customer market by creating a new brand, namely “Farmers Market”. Farmers Market supermarket have a wider area and more varied local products.

The Company entered into the termination agreement with Ranch Market USA in 2010. Furthermore, the Company entered into an agreement to obtain license to use Ranch Market brand in Indonesia and separate from Ranch Market USA.

In 2012 the Company made a public offering to the public of 312,897,500 shares on the Indonesia Stock Exchange. The corporate action has been stated in the Deed of Decision of All Shareholders No. 15 made before Fathiah Helmi., SH Notary in Jakarta and has received approval from the Minister of Law and Human Rights of the Republic of Indonesia No. AHU-03125.AH.01.02. Year 2012 and registered in the Company’s Registration No. AHU-0004990.AH.0.109 year 2012 dated 18 January 2012.

The Articles of Association of the Company has been amended several times with the latest amendments based on:

a. Notarial deed on statement of General Meeting of Shareholders No. 2758 dated 17 June 2015, made before Rudy Siswanto, S.H., Notary in Jakarta among others pertaining to approval of shareholders to amend article 1 to article 28 Articles of Association of the Company in accordance with the adjustment of Articles of Association of the Company to comply with POJK No. 32/POJK.04/2014 concerning Plan and Organizing of General Meeting of Shareholders of Public Listed Companies and POJK No. 33/ POJK.04/2014 concerning Board of Directors and Board of Commissioners of Public Listed Companies. This notarial deed has been approved by the Minister of Law and Human Rights of the Republic of Indonesia in its Decree No. AHU-AH.01.03.0952780 dated 14 July 2015, and notified to the Minister of Law and Human Rights of the Republic of Indonesia as stated in the Letter No. AHU-AH.01.03-0952779 dated 14 July 2015.

b. Notarial deed on statement of General Meeting of Shareholders No. 29 dated 30 April 2021, made before Rudy Siswanto, S.H., Notary in Jakarta among others pertaining to approval of shareholders to amend article 3 to article 28 Articles of Association of the Company. This notarial deed has been notified to Minister of Law and Human Rights of the Republic of Indonesia as stated in the letter No. AHU-AH.01.03-0332993 dated 27 May 2021 and registered in the Company’s registration No. AHU-0093935.AH.01.11.year 2021 dated 27 May 2021 and letter No.AHU-AH.01.03-0332987 dated 27 May 2021.
